These terms are the agreement between you and Liveqbits L.L.C-FZ (“Haydai”, “we”), a company established in the United Arab Emirates under registration number 2306738.01, for the Haydai app, the Haydai website and web app, and everything they offer (the “Services”). By creating an account or using the Services you accept these terms and our Privacy Policy. If you do not accept them, do not use Haydai.

1. Who may use Haydai

You must be 16 or older, or the higher age your country sets for agreeing to terms like these, unless a parent or legal guardian has set up your account through Haydai’s parental controls. A parent who does so accepts these terms on the child’s behalf and is responsible for the child’s use of the Services, including any purchases. You must not use Haydai if the law of your country forbids it, or if we have previously closed your account.

2. Your account

Your account is tied to your mobile phone number, which you must own and keep under your control. Keep your phone and your Haydai app protected; you are responsible for what is done from your account. You may sign in on more than one device; every device sees the same account. Tell us at once at support@haydai.com if you believe someone else is using your account.

3. Your content

Everything you send, post or share on Haydai stays yours. So that the Services can work, you give us a worldwide, free licence to store, copy, transmit, display and adapt your content for the purpose of delivering it to the people you chose, or to the public where you chose to post publicly. We do not use your content to target advertising.

A status posted to “Everyone” and a post in a public channel is public. Anyone on Haydai may see it, react to it, comment on it, share it and, if they wish, copy it. Think before you post publicly; we cannot take back what others have already copied.

You are responsible for your content. Do not post or send anything that is illegal, that you have no right to share, that harasses, threatens or defames anyone, that shows sexual content involving minors, that promotes violence or terrorism, or that infringes someone’s copyright or trademark. We may remove content and suspend or close accounts that break these rules, with or without notice. When content is reported to us, or we are required to by law, we may look at that content to decide what to do.

4. Behaviour

Use Haydai to communicate with people who want to hear from you. Do not spam, scam, impersonate anyone, harvest phone numbers, send bulk unsolicited messages, or interfere with the Services or with other people’s use of them. Do not attempt to access other accounts, our systems or our provider’s systems, or to reverse engineer the app. Anyone can block and report you; we review reports and act on them.

5. Calls

Calling rules by country. In some countries, voice or video calling over the internet is restricted by law. Haydai applies rules by country: where a rule applies to you or to the person you call, the call is refused and the app tells you why. The rule looks at the country your phone is in, or the country of your number when your phone’s location is not known. Exceptions may exist for particular numbers under a country’s own rules. We do not guarantee that a call to or from any country is available.

Recording. A call may be recorded only when one party asks and the other allows it in the app. The recording is delivered into both parties’ chats. Recording a call without the other party’s consent through any other means may be illegal where you are; that is your responsibility.

Call records. We keep a record of each call, without its content, as described in the Privacy Policy, and we may be required to produce it by law.

Companion devices. A linked device rings and answers with your phone. Anyone with access to a linked device has access to your calls and chats; unlink devices you no longer control.

Emergency calls. Haydai is not a replacement for a phone line. It cannot call emergency numbers such as 112, 911 or 999.

6. Coins, plans and paid features

Some features cost coins or need a plan. Coins are bought through the Apple App Store or Google Play, earned through rewards Haydai offers from time to time, or granted by Haydai. Coins have no money value outside Haydai, cannot be transferred or exchanged for cash, and may be adjusted or withdrawn if they were obtained by mistake or by breaking these terms. Plans give allowances, such as free call minutes, for the period shown when you buy; use beyond an allowance is charged in coins at the price shown in the app. Prices, allowances and what counts as a paid feature may change; a change never affects a period you have already paid for.

Coins and paid features are delivered to your account the moment you buy them. If you live in a country that gives you a right to cancel a digital purchase within a set number of days, you agree that delivery starts at once and that this right ends when delivery starts, as far as the law allows. Purchases are otherwise final and non-refundable, except where the law of your country gives you a right to a refund or where Apple or Google refunds you under their own rules. Subscriptions, where offered, renew automatically until you cancel them in your App Store or Google Play account; cancellation takes effect at the end of the period already paid.

Referral rewards, when offered, are paid in coins under the conditions shown in the app. Fake or self-referrals earn nothing and may lead to the closing of the accounts involved.

7. Mobile top-up

Where Haydai offers mobile top-up, you enter the phone number, operator and amount and confirm them before paying. The total, including fees, is shown before you confirm. It is your responsibility to enter the right number; a top-up sent to a number you entered cannot be recalled. After payment the top-up is delivered through the mobile operator; where an exchange rate applies, the final amount charged may differ slightly at settlement. Payment is handled by third-party payment agencies; we are not responsible for their faults or fees.

8. Advertising and third parties

Haydai shows advertisements in some screens, served by third parties under their own terms; we are not responsible for what they advertise. Links, channels and content published by other users or third parties are theirs, not ours. Payments, app distribution and notifications rely on Apple, Google and payment agencies, and messages, media and calls are delivered through a specialised communications platform acting on our instructions; their availability is outside our control.

App stores. This agreement is between you and Haydai only. Apple and Google are not parties to it and have no duty to maintain or support the app or to handle any claim about it; where the law requires, Haydai, not the store, answers for the app, for your rights in it, and for claims that it infringes someone’s rights. You confirm you are not in a country under a United States embargo and not on a United States list of prohibited parties. Apple and its subsidiaries may enforce this agreement against you as a third-party beneficiary.

9. Parental controls

A parent or legal guardian may pair a child’s account and set rules for it, such as who may contact the child or when calls are allowed. The parent is responsible for the rules chosen and for the child’s use of Haydai. Parental controls help; they do not replace supervision, and we do not guarantee that they stop every unwanted contact.

10. Our rights in Haydai

The app, the website, the Haydi character, the Haydai name and logo, and everything we made are ours or licensed to us. You may use them only as part of using the Services. You may not copy, sell, rent or modify them, or use our name or marks without our written permission.

11. Copyright complaints

If you believe content on Haydai infringes your copyright, write to support@haydai.com with the content, where you saw it, proof that you own the rights, and your contact details. We remove infringing content and may close the accounts of repeat infringers.

12. No warranty, limited liability

Haydai is provided as it is. We do not promise that it will always be available, error-free, or suitable for a particular purpose, or that messages and calls will always be delivered. To the extent the law allows, we are not liable for indirect, incidental or consequential loss, for loss of data, profit or reputation, or for anything done by other users or third parties. Where liability cannot be excluded, our total liability to you for all claims is limited to the amount you paid us in the twelve months before the claim, or 100 US dollars if you paid nothing. Nothing in these terms limits liability that cannot be limited by law.

13. Your responsibility to us

If your use of Haydai, your content, or your breach of these terms causes a claim against us, you will cover our losses, costs and reasonable legal fees arising from it.

14. Ending the agreement

You may stop using Haydai and delete your account at any time from the app’s settings. We may suspend or close your account, remove your content, or stop providing part of the Services if you break these terms or the law, if we must by law, or if we stop offering Haydai; where reasonable we tell you first. Ending the agreement does not refund coins or paid periods, except where the law requires it. Sections 3, 10, 12, 13, 16 and 17 continue to apply afterwards.

15. Changes

We update the app and the Services regularly, and may add, change or remove features. When these terms change we update the date at the top and, for an important change, tell you in the app before it applies. Using Haydai after that date means you accept the new terms. Some app versions may stop working until updated.

16. Law and disputes

These terms are governed by the laws of England and Wales. Any dispute between you and Haydai is heard by the courts of the Dubai International Financial Centre, Dubai, United Arab Emirates, except that we may bring proceedings against you in the courts of your country of residence. If you are a consumer, nothing in these terms takes away the protection of the laws of the country where you live that cannot be excluded by agreement, including the right, where that law gives it, to bring a claim in your own courts and in your own language. Any claim must be brought within one year of the event giving rise to it, unless the law of your country sets a longer time that cannot be shortened. Before going to court, write to us; most matters are settled by talking.

17. General

These terms are written in English; translations are for convenience and the English text prevails where the law allows. These terms and the Privacy Policy are the whole agreement between you and Haydai about the Services. If a part of them is found invalid, the rest still applies. If we do not enforce a term today, we may still enforce it later. You may not transfer this agreement to anyone; we may transfer it to a successor of our business.
